1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Collabor website, platform and related services (the "Services"), operated by COLLABOR TECHNOLOGIES LTD ("Collabor", "we", "us").

By accessing the Services, joining a waitlist, or creating an account, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you use the Services on behalf of a company, you confirm you have authority to bind that company to these Terms.

  • You are responsible for the accuracy of the information you provide, including profile, audience and payment details.
  • You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
  • We may suspend or close accounts that breach these Terms or present risk of fraud or abuse.

3. Our Role on the Platform

Collabor provides tools that allow brands and creators to discover each other, agree campaign terms, exchange content and process payments. Collabor is not a party to the agreement between a brand and a creator.

Each party is solely responsible for the commercial terms it agrees, for the legality of the content it produces or approves, and for complying with applicable advertising disclosure rules (including ASA/CAP guidance in the UK and equivalent rules elsewhere).

4. Payments and Escrow

Where campaign funds are held in escrow, they are released according to the milestones and approvals agreed within the platform. Funds held in escrow are not a deposit with Collabor and do not earn interest for either party.

  • Payment processing is carried out by third-party providers, whose terms apply in addition to these Terms.
  • Applicable fees are shown before you confirm a transaction. Taxes are your responsibility unless stated otherwise.
  • Chargebacks, reversals and disputes will be handled in line with our dispute process and the relevant provider's rules.

5. Content and Intellectual Property

You retain ownership of the content you upload. By uploading content, you grant Collabor a non-exclusive, worldwide, royalty-free licence to host, store, reproduce and display that content solely to operate and improve the Services.

Rights to campaign deliverables (including usage, whitelisting and paid amplification rights) are governed by the agreement between the brand and creator, not by these Terms.

The Collabor name, logo, platform software and design are owned by COLLABOR TECHNOLOGIES LTD and may not be copied or reused without written permission.

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, misleading or infringing activity.
  • Misrepresent audience metrics, engagement or identity, or use artificially inflated performance data.
  • Attempt to circumvent platform fees by moving an introduced relationship off-platform to avoid charges.
  • Scrape, reverse engineer, disrupt or gain unauthorised access to the Services or other users' data.
  • Upload malware, harassing material, or content that breaches third-party rights.

7. Disclaimers and Liability

The Services are provided "as is". We do not guarantee specific campaign results, reach, revenue or that the Services will be uninterrupted or error-free.

To the fullest extent permitted by law, Collabor is not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data. Our total aggregate liability arising from the Services is limited to the fees paid to Collabor by you in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

8. Changes, Termination and Governing Law

We may update these Terms from time to time. Material changes will be notified through the platform or by email, and continued use after the effective date constitutes acceptance.

You may stop using the Services at any time. We may suspend or terminate access where these Terms are breached, or where required by law or a payment provider.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
